Fedfina’s New ₹500-Crore NCD Rating Puts Its Secured-Lending Strategy in Focus

Fedfina’s New ₹500-Crore NCD Rating Puts Its Secured-Lending Strategy in Focus

A lender's credit profile is shaped by more than the size of its loan book or the growth in its profits. The quality of its borrowers, the nature of its collateral, its capital position and its ability to manage repayments all influence how lenders and investors assess its financial risk.

A recent rating action involving Fedbank Financial Services Limited (Fedfina) brings these factors into focus.

On 6 November 2026, ICRA assigned an [ICRA]AA+ (Stable) rating to Fedfina's ₹500 crore non-convertible debenture (NCD) programme. It also reaffirmed the company's existing ₹750 crore subordinated debt rating at AA+ (Stable) and its ₹2,500 crore commercial paper rating at A1+.

With this action, the total amount covered by these three rated programmes stands at ₹3,750 crore. NSE India

The more interesting part of the assessment, however, lies in the reasons behind the ratings. ICRA's rationale highlights a significant change in Fedfina's lending portfolio, stronger profitability and continued support from its parent bank, while identifying portfolio seasoning and early-stage delinquencies as areas requiring attention.

1. What exactly did ICRA rate?

The rating action covers three debt programmes:

Instrument

Rated amount

ICRA rating

Non-convertible debenture programme

₹500 crore

AA+ (Stable)

Assigned

Subordinated debt

₹750 crore

AA+ (Stable)

Reaffirmed

Commercial paper

₹2,500 crore

A1+

Total

₹3,750 crore

An important distinction is that the ₹500 crore NCD programme has received a rating, but this does not mean the company has already raised ₹500 crore through a completed bond issue.

ICRA's instrument details list the NCD programme as yet to be placed. The rating assignment should therefore be understood as a rated borrowing programme, not confirmation of a completed fundraising transaction. NSE India

For companies considering debt-market fundraising, this distinction matters. A rating assigned to a proposed programme and the actual issuance of debt are separate stages.

2. The major portfolio shift: From unsecured business loans to secured lending

One of the most significant developments highlighted in the rating rationale is Fedfina's move away from unsecured business lending.

ICRA noted that the unsecured business loan segment had reduced to 0.6% of assets under management (AUM) as of September 2026, compared with 15% in March 2024.

The company had assigned and derecognised its unsecured business loan book during FY2026 following stress in that segment. ICRA also referred to the assignment of the ₹1,261 crore unsecured business loan portfolio.

Going forward, the lender is expected to focus primarily on secured products, including:

  • Gold loans

  • Medium-ticket loans against property (MT-LAP)

  • Small-ticket loans against property (ST-LAP)

  • Home loans

The company's Q2 FY2027 investor presentation reported that 99.4% of its AUM was secured by collateral as of September 2026. Gold loans accounted for ₹11,917 crore, while mortgage loans stood at ₹9,982 crore. NSE India

This shift is significant because secured lending provides an identifiable asset against which recovery can be pursued if a borrower defaults. However, the presence of collateral does not eliminate credit risk. Its value, enforceability, loan-to-value position and recovery timelines remain relevant to the overall assessment.

3. Stronger profitability and support from Federal Bank

ICRA's assessment also factors in the financial and operational relationship between Fedfina and its parent, Federal Bank Limited.

Federal Bank held a 60.6% stake in Fedfina as of September 2026. ICRA highlighted the following aspects of this relationship:

  • Capital infusions of ₹471 crore since inception.

  • Outstanding credit lines of ₹1,200.1 crore from Federal Bank as of September 2026.

  • Managerial and operational linkages, including common board representation.

  • Continued strategic importance of Fedfina as a subsidiary.

The rating rationale also noted an adequate capitalisation profile, with gearing of 4.7 times and a capital-to-risk-weighted assets ratio (CRAR) of 21% as of September 2026. NSE India

Profitability has also strengthened

Fedfina's return on average managed assets (RoMA) improved to 2.1% in H1 FY2027, compared with 1.7% in FY2026 and 1.5% in FY2025.

Net interest margin increased from 6.1% in FY2026 to 6.5% in H1 FY2027. ICRA attributed the improvement partly to the growing contribution of higher-yielding gold loans, alongside better operating leverage and lower credit costs.

The company's Q2 FY2027 investor presentation also reported:

4. Why the rating rationale still highlights asset-quality risks

A stronger secured-lending mix does not automatically resolve every portfolio concern.

ICRA identified moderate portfolio seasoning as a key credit challenge, particularly in the mortgage segment. Loan against property and home loans together accounted for approximately 45% of AUM as of September 2026.

These are relatively long-tenured products, and the performance of a rapidly growing portfolio needs to be assessed over time rather than solely through its current repayment record.

Gold loan delinquencies have increased

The rating rationale noted that gold loan delinquencies in the 30-days-past-due category increased to 1.8% in September 2026, compared with 0.4% in March 2026.

ICRA attributed this primarily to changes in customer repayment behaviour following the introduction of regular-servicing loan products during FY2027.

The agency expects the fully collateralised nature of the portfolio and the company's established auction-led recovery processes to moderate the effect on credit costs.

Nevertheless, it identified the ability to maintain asset quality across the loan-against-property and home-loan portfolios as an important monitorable factor. NSE India

Legacy portfolio clean-up continues

ICRA also referred to the company's continued efforts to run down legacy ST-LAP and residual unsecured exposures.

The company reported write-offs of ₹134 crore in FY2026 and ₹59 crore in H1 FY2027.

Its Stage 3 provision coverage stood at 35.4% as of September 2026, compared with 32.3% in March 2026.

These details show why rating assessments examine the history and composition of a loan portfolio, not just the proportion of loans backed by collateral. NSE India

5. Liquidity remains another important part of the assessment

For an NBFC, the ability to meet near-term obligations is closely linked to its funding structure and the repayment profile of its loan assets.

As of 30 September 2026, Fedfina had:

  • On-balance-sheet liquidity of ₹1,408.2 crore, including cash, bank balances and investments.

  • Sanctioned but unavailed bank lines of ₹1,913 crore.

  • Principal repayments, including working capital demand loans, of ₹2,742 crore falling due over the subsequent three months.

ICRA assessed the company's liquidity position as strong, also taking into account its access to financial support from Federal Bank and the short-term nature of a significant portion of its gold loan assets. NSE India

This is an important reminder that a lender's liquidity assessment involves more than the cash balance shown on its balance sheet. Available credit lines, repayment schedules, asset maturity profiles and access to funding also matter.

6. What this development means for other NBFCs and businesses

Fedfina's latest rating action offers several practical lessons for companies preparing for a credit rating exercise.

1. Portfolio composition matters.

For NBFCs, the proportion of secured and unsecured lending, product concentration and borrower profile can materially influence the assessment of business risk.

2. Growth must be supported by portfolio performance.

A rapidly expanding loan book may strengthen revenue and profitability, but rating agencies also examine how the portfolio performs as it matures.

3. Collateral quality needs to be demonstrated.

The existence of security is only one part of the assessment. Valuation practices, loan-to-value ratios, documentation, enforceability and recovery mechanisms also matter.

4. Parent support should be clearly established.

Where a company benefits from a strong parent, management teams should be prepared to explain the ownership structure, financial linkages, operational support and history of capital contributions.

5. Liquidity needs to be assessed against actual obligations.

Businesses should maintain clear visibility over debt maturities, available funding lines, working capital requirements and cash-flow projections.

6. Legacy stress should be transparently explained.

Write-offs, portfolio assignments and changes in underwriting strategy need to be supported by clear information. A change in the loan book is more meaningful when the reasons, financial implications and remaining exposures are understood.

7. The bigger takeaway

Fedfina's latest rating action demonstrates how an NBFC's credit profile can reflect several interconnected factors.

Its move towards a predominantly secured lending portfolio, stronger profitability, adequate capitalisation and continued parent-bank support are important credit strengths. At the same time, portfolio seasoning, gold loan delinquencies and the performance of its mortgage book remain relevant to the assessment.

For businesses, the broader lesson is that a credit rating exercise requires a complete view of financial performance, operating strategy, liquidity, debt obligations and risk management.

Understanding these factors before approaching a rating agency helps management teams prepare a more structured and transparent presentation of their business.
